Welcome to Mayrian website ("Mayrian," "we," "us," or "our"). 5. User Content

You may be able to post, upload, or otherwise make available content through the Services ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content. However, by posting, uploading, or otherwise making available User Content through the Services, you grant Mayrian a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and Mayrian's business, including for promoting and redistributing part or all of the Services.

You are solely responsible for your User Content and the consequences of posting, uploading, or otherwise making it available through the Services. By posting, uploading, or otherwise making User Content available through the Services, you represent and warrant that:

  • You have all necessary rights, licenses, and permissions to grant the above licenses and to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content;
  • Your User Content does not violate, misappropriate, or infringe on the rights of any third party, including intellectual property rights, privacy rights, publicity rights, or other proprietary rights

We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. You expressly relieve Mayrian from any and all liability arising from your use of any third-party website, service, or content.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. MAYRIAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MAYRIAN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MAYRIAN DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION ARISING FROM YOUR USE OF THE SERVICES.

8. Limitation of Liability

IN NO EVENT SHALL MAYRIAN, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MAYRIAN IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mayrian, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the Services, any User Content posted by you, your violation of these Terms, your violation of any rights of a third party, or your violation of any applicable laws, rules, or regulations. Mayrian reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Mayrian in asserting any available defenses.

10. Governing Law and Dispute Resolution

These Terms and any action related thereto will be governed by the laws of the state of Maryland, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or your access to or use of the Services will be subject to the exclusive jurisdiction of the courts located in the state of Maryland, and you hereby submit to the personal jurisdiction of such courts.

11. Miscellaneous

These Terms constitute the entire agreement between you and Mayrian regarding your use of the Services and supersede all prior or contemporaneous understandings and agreements between you and Mayrian relating to the subject matter hereof. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. The failure of Mayrian to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign these Terms or any of your rights or obligations hereunder without Mayrian's prior written consent. These Terms are binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.
